Clinical Coding Copilot — Terms of Service

1. Acceptance

By downloading or using Clinical Coding Copilot (the "App"), you agree to these Terms. If you do not agree, do not use the App. These Terms are between you and VLR Software LLC; Apple is not a party to them.

2. What the App is — and is not

The App is a decision-support and reference tool for professional medical coders. It suggests ICD-10-CM codes from clinical documentation you provide. All suggestions are for informational and decision-support purposes only. You are solely responsible for reviewing, verifying, and confirming every code before use. The App is not a substitute for professional coding judgment, clinical judgment, medical advice, or payer-specific guidance, and it does not guarantee coding accuracy, completeness, reimbursement, or regulatory compliance.

3. No medical or professional advice

The App does not provide medical advice, diagnosis, or treatment recommendations, and nothing it outputs should be relied upon as such. Coding and billing decisions remain the responsibility of the qualified professional using the App.

4. Eligibility and appropriate use

You must be at least 18 years old and use the App in a lawful, professional context. You agree not to misuse the App, reverse-engineer it, or use it to violate any law, regulation, or third-party right, including patient-privacy laws. You are responsible for ensuring your use of the App complies with your own obligations regarding protected health information.

5. Privacy

Clinical notes you enter are processed on your device and are not transmitted to or stored by us. Our handling of data is described in our Privacy Policy at https://www.vlrsoftware.com/clinical-coding-copilot/privacy, incorporated by reference.

6. Subscriptions and payments

The App offers auto-renewing subscriptions processed by Apple. Prices, billing, renewal, and cancellation are governed by Apple and your Apple Account settings; we do not process or receive payment details. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. A free trial's unused portion is forfeited upon purchase of a subscription.

7. Intellectual property

The App, its design, and its content (excluding the ICD-10-CM code set, which is published by its respective authorities) are owned by VLR Software LLC and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. You may not copy, distribute, or create derivative works from the App.

8. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CODE SUGGESTIONS ARE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VLR SOFTWARE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM CODING ERRORS, CLAIM DENIALS, REGULATORY ISSUES, OR RELIANCE ON THE APP'S OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold VLR Software LLC harmless from claims arising out of your use or misuse of the App or your violation of these Terms.

11. Changes

We may update these Terms; material changes will be posted at this URL with a new effective date. Continued use after changes constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles.

13. Apple

These Terms are between you and VLR Software LLC. Apple has no obligation to provide support or warranty for the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
